This Unauthorized Dealer Policy is established to maintain the integrity and reputation of Octavue, a registered trademark of Global Surveillance Distribution Group Inc. (G.S.D Group Inc.), and its products and brand. We are committed to ensuring that all authorized dealers adhere to our standards and policies to protect our customers and provide the best possible experience with our security cameras and video solutions. Dealers failing to comply with these policies may lose their authorization to sell our products.
Authorized Dealer Agreement
To sell G.S.D Group Inc. products, dealers must enter into an Authorized Dealer Agreement with G.S.D Group Inc., ensuring they adhere to all outlined terms and conditions. This includes, but is not limited to, selling at recommended prices, providing proper customer service, and maintaining a good business reputation.
Dealer Obligations
Authorized dealers are expected to comply with the following conditions:
- Adherence to Terms and Conditions: Dealers must fully comply with all terms and conditions set forth in their Authorized Dealer Agreement, including pricing, advertising, and sales practices.
- Product Sales Location: Dealers must sell our products only through authorized channels and locations. Unauthorized reselling on third-party platforms (e.g., Amazon, eBay) without prior approval is prohibited.
- Customer Support: Dealers are required to provide after-sales support and warranty services as stipulated in the Authorized Dealer Agreement. They must provide timely responses to customer inquiries and honor all manufacturer warranties.
- Product Integrity: Dealers must only sell genuine G.S.D Group Inc. products. Repackaging, modifying, or rebranding products is prohibited.
Violations of Dealer Policy
Any violation of the above obligations, including but not limited to the following, may result in the revocation of dealer authorization:
- Failure to Adhere to Pricing Guidelines: Selling products at prices below G.S.D Group Inc.'s Minimum Advertised Price (MAP) or any agreed-upon price structure.
- Selling Counterfeit or Non-Authorized Products: Selling products that are not supplied directly by G.S.D Group Inc. or those that are counterfeit, refurbished, or modified.
- Non-Compliance with Sales Territory or Online Sales Restrictions: Selling products outside of authorized territories or on unauthorized online platforms.
- Negative Impact on Brand Image: Engaging in unfair or misleading business practices that could harm the reputation of G.S.D Group Inc..
- Failure to Provide Adequate Customer Support: Failing to honor product warranties, providing insufficient technical support, or neglecting customer satisfaction.
Consequences of Violations
If a dealer is found in violation of the above terms:
- G.S.D Group Inc. reserves the right to terminate or suspend their dealer authorization immediately.
- The dealer will be prohibited from purchasing, selling, or distributing any G.S.D Group Inc. products.
- Any inventory of G.S.D Group Inc. products that the dealer currently holds may be subject to return or repurchase by G.S.D Group Inc. at the dealer's expense.
Reinstatement of Authorization
A dealer whose authorization has been revoked or suspended due to non-compliance may apply for reinstatement. Reinstatement will be considered only after the dealer has demonstrated compliance with the terms and conditions and after a thorough review by G.S.D Group Inc..
General Provisions
- G.S.D Group Inc. reserves the right to amend or modify this Unauthorized Dealer Policy at any time.
- Any disputes or issues arising under this policy will be resolved in accordance with the terms outlined in the Authorized Dealer Agreement and applicable laws.
